SNDA BYLAWS  continued.
ARTICLE 11-  RESIGNATION OR REMOVAL

Section 1- The procedure for removal or expulsion is:

            1. A list of charges and documentation in the form of a petition requesting
                removal will be submitted to the Board.

            2. The Board will have a period of two weeks, no more no less, to review                        the petition and investigate charges.

             3. The Board will then meet and vote.

             4.The Secretary will draft an item in the newsletter to inform the general                        membership and other organizations or individuals involved of outcome
                of the vote.

Section 2-  Removal can only be done by secret ballot of the Board. It requires a 2/3 vote of the Board members present to remove a general member and a 2/3 vote of the entire Board to remove a Board member.

Section 3- If the vote is not obtained, the petition is null and void however ,the Board may prescribe some other disciplinary action/fines/probation in lieu of expulsion.

Section 4- Any person who has been removed has the right to appeal said decision. To do so this person must submit a written appeal to the Board within one week. The Board shall call another meeting for the sole reason of reviewing and voting on said appeal. There is only one appeal and the decision of that appeal is final and binding.

Section 5- Any person that has been removed from club will be expelled for the period of one year.

Section 6- If the President is removed from office the Vice President will immediately assume that office. The Board reserves the right to decide the method of replacement of any other Board member.

Section 7- Any general member or Board member may resign by submitting a letter so stating to the Secretary. If a member resigns they forfeit all dues paid.

Section 8- All removals and resignations are a matter of public record and the secretary will either put notice in the club newsletter or give notice by mailing to the entire membership.

ARTICLE 12-  AMENDMENT PROCEDURE

Section 1- Additions, changes or repeal of the bylaws can be voted on by either the Board or general membership.

Section 2- Additions, changes or repeal of the constitution can be voted on only by the general membership.

Section 3- A petition with the precisely written amendment and signatures of at least 1/3 of the appropriate body must be presented prior to the discussion and vote at the appropriate meeting.

Section 4- Amendments which do not change the letter of the bylaws/constitution but are written for the purpose of uniformity or clarity will be done at the discretion of the Board without the petition.

Section 5- All petitions for amendment require a 2/3  majority vote of the entire appropriate body to pass.

Section 6- New copies of the amended constitution and bylaws, should be distributed to the general membership at the beginning of the subsequent year by the Secretary.



ARTICLE 13- DISBANDING AND DISSOLUTION

Section 1- If for any reason it is decided to disband the club, a petition requiring the signatures of 50% of the current membership must be submitted to the Board 30 days before the next general membership meeting before discussion and vote can take place.

Section 2- A dissolution vote requires 75% of all current members to pass.

Section 3- If a dissolution vote is passed, it is the responsibility of both the President and the Treasurer to negotiate to cancel/void existing contracts/agreements, to pay n full all outstanding club debts, to dispose of any real properties the club may have and in general finalize any obligations still pending within 90 days of the vote, all funds acquired will be deposited in the club account.

Section 4- When the financial liability of the SNDA has been fully resolved the Treasurer will submit a detailed report of all transactions to the Board for review as soon as reasonably possible.

Section 5- All monies remaining after completion of Section 3 shall either be equally divided and shared by all current members or if this share is less than $1 the total remaining funds can be donated to a local charity chosen by the Board.
